BrickEconomy reserves the right to make changes without notice. Such changes will be effective upon posting the revised Agreement on www.brickeconomy.com . Members are encouraged to review the Agreement from time to time for any possible changes. Members should discontinue use www.brickeconomy.com if they do not agree to any terms of this Agreement.

The BrickEconomy website, including but not limited to all text, graphics, logos, icons, images, data, graphs, audio, videos, computer programs and other material and information contained on, or utilized in the provision of, the BrickEconomy Website is the property of BrickEconomy, its participants, suppliers and/or its licensors and is protected by copyrights, trademarks, trade secrets, patents or other proprietary rights. BrickEconomy hereby grants you a limited, nonexclusive, non-transferable, personal license to use the BrickEconomy Website for personal or, informational purposes only. Except as expressly authorized by BrickEconomy in writing, you may not use, copy, distribute, modify or create derivative works from, disclose, display, transmit, or post or any portion of the BrickEconomy Website for any purpose or “frame" or "mirror" the BrickEconomy Website on any other server or wireless or Internet-based device. All rights not expressly granted herein are reserved to BrickEconomy, its suppliers and/or its licensors.

To use certain features of the BrickEconomy Website or participate in certain activities sponsored by BrickEconomy, we might ask you to register as a user or participant. When using or accessing the Site, you agree to abide by the following simplified rules of conduct:

Submissions

All information, data, text, software, music, sound, photographs, graphics, video, messages, or any other materials whatsoever, whether posted or transmitted to BrickEconomy or the BrickEconomy website, shall be collectively referred to as the “Content.” The submitting user retains ownership of Content. Notwithstanding the user’s ownership, the submitting user grants BrickEconomy the royalty-free, world-wide perpetual, non-exclusive, irrevocable, transferable license to BrickEconomy to use, reproduce, publish, distribute and display such Content solely on or through the BrickEconomy Website. BrickEconomy has not, and will not, review, monitor or edit the Content for accuracy, timeliness, integrity or completeness. BrickEconomy shall have the right (but not the obligation) in its sole discretion to refuse or delete any Content that it considers to violate the Terms or be otherwise illegal. We highly recommend that you independently value any item you wish to sell, purchase or trade. Also, please keep in mind that we simply help you find the items you might like to purchase, r sell or trade. Any transaction between you and any collector you might find on the BrickEconomy Website, whether buying, selling or trading, is solely between you and the collector; BrickEconomy is not responsible for any such transactions and doesn’t vouch for (and is not responsible for) any buyer, seller, trader or anybody else that uses the BrickEconomy Website.

Children

The BrickEconomy Website is not intended for use by children. If you are under 13, you may not submit or post any information or material on the BrickEconomy Website or otherwise provide such information to BrickEconomy, including but not limited to personally identifiable information.

Termination

BrickEconomy may terminate your use of the BrickEconomy Website for: (1) breach of these Terms; (2) your abuse of BrickEconomy Website resources or attempt to gain unauthorized entry to the BrickEconomy Website; or (3) as required by law, regulation, court or governing agency order. BrickEconomy’s termination of any user's access to the BrickEconomy Website may be effected without notice and, on such termination, BrickEconomy may immediately bar any further access to the BrickEconomy Website. BrickEconomy shall not be liable to any user or other third party for any termination of that user's access to the BrickEconomy Website. In the event of termination, BrickEconomy reserves the right to delete or save a user’s Content at BrickEconomy’s sole discretion.

Copyrights

BrickEconomy is the owner of brickeconomy.com and all pages therein. All information contained herein is considered confidential and proprietary information and is the product of immeasurable time and skill provided by BrickEconomy and its agents (“Confidential Information”). Member understands that misappropriation of such Confidential Information would cause irreparable damage to BrickEconomy. As a condition of joining brickeconomy.com , Member understands that the materials on this site are confidential, proprietary and protected by United States Copyright Laws, and that any unauthorized reproduction, preparation of derivative works, distribution (whether by sale or other transfer of ownership, or by rental, lease or lending), or other display of the copyrighted work publicly, without the express written consent of BrickEconomy Collectibles Inc. is expressly prohibited, and that any violation could expose the user to both criminal and civil liability.

Privacy

BrickEconomy agrees to treat your private personally identifiable information in accordance with the terms of our then current privacy policy, which is incorporated herein for all purposes, and which is available for review at https://www.brickeconomy.com/legal-privacy-policy/ or by sending an e-mail request to: [email protected].

Site availability

BrickEconomy may periodically interrupt access to the Site for maintenance, either on a scheduled basis or without prior notice. We are not liable for any interruptions, delays, or performance issues, regardless of the cause. Access to the Site may be affected by factors outside our control, and we can't guarantee uninterrupted access to your Account or the Site. BrickEconomy will not be responsible for any interruptions, delays, or performance failures for any reason.

Web robots & spiders

You are prohibited from using robots, spiders, other automatic devices, or manual processes to monitor or copy our web pages or their content without our explicit written consent. If you're using these tools for data harvesting from the Site, you must stop immediately and contact Customer Support for permission or to discuss alternatives. Additionally, the use of bots is forbidden on forum and feedback sections. Violating these terms with bot usage may lead to an IP Address ban, ranging from 24 hours to permanent, based on the bot postings’ severity and content. This is in addition to any other legal remedies we may pursue.

Dispute resolution and arbitration; class action waiver

If you are a resident of the EEA, UK, Switzerland, Australia, New Zealand, Turkey, Japan, or Brazil, only this paragraph applies to you. BrickEconomy aims to resolve any disagreements or disputes with you quickly and efficiently. While both you and BrickEconomy can agree to alternative dispute resolution methods, neither party is restricted from initiating court proceedings. The European Commission offers an online dispute resolution platform, accessible at https://ec.europa.eu/consumers/odr/. To report a dispute, please email [email protected] with your name, address, a written description of the issue, and the resolution you seek. Note that we are not obligated to, and generally do not, participate in any consumer arbitration board or scheme for dispute settlement.

"If you live outside the EEA, UK, Switzerland, Australia, New Zealand, Turkey, Japan, or Brazil, the terms in this section are applicable to you. It is designed to ensure the swift and effective resolution of any claims, controversies, lawsuits, actions, or disputes that might arise between you and BrickEconomy. This includes any disputes based on contracts, statutes, regulations, ordinances, or torts (such as fraud, misrepresentation, fraudulent inducement, or negligence) and other legal or equitable theories. It also covers issues related to the validity, enforceability, or scope of this section (excluding the enforceability of the Class Action Waiver clause). These apply to any disputes arising from or related to these Terms (“Disputes”)."

Before proceeding with any Disputes in court or arbitration against BrickEconomy, you are required to provide us with an opportunity to resolve the issue. This is initiated by emailing us the following details: (1) your name, (2) your address, (3) a written explanation of your Dispute, and (4) the specific resolution you are seeking. If the Dispute is not resolved within 45 days of us receiving your email, you may then proceed to pursue the Dispute through arbitration, as outlined in this section.

By agreeing to individual binding arbitration, you are choosing arbitration over the right to sue in court. This means you waive your rights to a judge or jury trial, and instead, your Disputes will be resolved by an arbitrator, not a court. The arbitrator is bound by this agreement and has the authority to award the same damages and relief as a court. However, the arbitrator cannot award any damages that are disclaimed or limited by these Terms, except where such disclaimers or limitations are not enforceable under applicable law. The arbitrator’s decision is final and binding. Despite this, you acknowledge that we may seek injunctive and other equitable relief in a court of competent jurisdiction without going through arbitration as outlined in this section.

The arbitration will be carried out by a single arbitrator and will only be conducted individually, not as a class, collective, consolidated, or representative action. The arbitration will follow the laws mentioned in these Terms. Unless otherwise agreed, the arbitrator will issue their decision within 30 days after the arbitration hearing ends. Any delay in issuing the award won't impact its validity. The arbitrator’s decision will be detailed and in writing, explaining the reasons behind it. This decision is final and binding. The winning party can take this decision to a court with the appropriate authority for confirmation. A court with the right jurisdiction can also confirm the arbitrator’s decision

Class Action Waiver: You agree not to participate in any class action against BrickEconomy, whether in court or arbitration. This includes any class, collective, or representative action. Arbitrators cannot consolidate multiple claims or oversee any form of class action unless both you and BrickEconomy agree in writing after arbitration starts. If you opt out of arbitration as outlined, this waiver doesn't apply.

Opt-Out and Small Claims: You can choose to resolve Disputes in court instead of arbitration if the Dispute qualifies for small claims court in the U.S., or if you opt out of arbitration within 30 days of agreeing to these Terms. Opt out by sending a written notice to BrickEconomy's Legal Department. This decision won’t affect your relationship with BrickEconomy. Requests after the 30-day deadline are invalid, and you must resolve Disputes in arbitration or small claims court.

Jurisdiction: If you're in the U.S. and opt out of arbitration, you consent to the jurisdiction of U.S. federal courts in New York for all Disputes. If federal courts lack jurisdiction, New York state courts will have exclusive jurisdiction. Either party can seek injunctive relief in a competent court.

Jury Trial Waiver: By opting out of arbitration, you waive your right to a jury trial for Disputes related to these Terms, to the extent allowed by law.

Assignment

You cannot transfer these Terms to anyone else without our written permission. However, we may assign these Terms and our associated rights to (a) any affiliated entity, like parent, subsidiary, or sister companies, or (b) a third party during a merger, reorganization, or sale/transfer of most or all of our assets linked to the Site, without needing your consent

Modification of disclaimer

BrickEconomy reserves the right to modify this disclaimer at any time without notice. It is your responsibility to review the disclaimer periodically for changes.

Governing law

These Terms of Service and any dispute or claim arising out of, or related to them, shall be governed by and construed in accordance with the internal laws of the United States without giving effect to any choice or conflict of law provision or rule.
